You retain ownership of User Content.
You grant RoundRaise a non-exclusive, royalty-free, worldwide licence to:
- store, process, and display the content
- analyse it for platform features
- use it for internal development, model training, and system improvement
This licence is required to operate the Services.
We do not publicly share your content or distribute it to external parties.
4. Platform Outputs
RoundRaise provides:
- Fundability Scores/Assessments
- Data Rooms
- Cap Table Management
These are informational only and not guaranteed.
You acknowledge that:
- outputs may not be accurate;
- models may evolve;
- no output constitutes investment, legal, or financial advice.
5. Intellectual Property
All platform technology, algorithms, branding, models, and content not provided by users remain the exclusive property of RoundRaise.You may not copy, replicate, or extract algorithmic logic.
6. Account Termination
We may suspend or terminate accounts for:
- policy breaches
- security concerns
- misuse or fraudulent activity
- legal requirements
You may close your account at any time.
7. Limitation of Liability
To the maximum extent permitted under UK law:
- We are not liable for indirect, incidental, or consequential damages.
- We are not liable for business losses, lost profits, or lost opportunities.
- Our Services are provided “as is” without warranties.
8. Indemnification
You agree to indemnify RoundRaise against claims, damages, or liabilities arising from:
- misuse of the platform
- User Content
- breach of these Terms
9. Governing Law
These Terms are governed by the laws of England and Wales.
Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
10. Ammendments
We may modify these Terms at any time.
Changes become effective upon posting.
Continued use signifies acceptance.
